Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you (and the business you represent) and Scalifo LLC, a limited liability company registered in the Sharjah Media City Free Zone (Shams), United Arab Emirates (“Scalifo”, “we”), for use of Sotrics and sotrics.com (the “Services”). By creating an account or using the Services you accept these Terms.

2. Eligibility

The Services are for businesses. You must be at least 18 and authorized to act for the business you register.

3. The Services

Sotrics provides analytics and reporting for e-commerce sellers using data you authorize us to retrieve, including through Amazon's Selling Partner API and Amazon Ads API, and data you enter. Features marked Beta or Coming soon may be limited or unavailable. We may change features over time.

4. Your account

Keep your login details confidential. You are responsible for activity under your account and for team members you invite.
Give us accurate information and keep it up to date.
Tell us promptly at security@sotrics.com if you suspect unauthorized use.

5. Connecting Amazon accounts

You may connect only seller or advertising accounts that you own or are authorized to manage.
You authorize us to retrieve the data categories described on our Amazon Integration page for the purpose of providing the Services to you.
You remain responsible for your Amazon account and for complying with Amazon's agreements and policies.
You can disconnect at any time as described on our Data Deletion page.

Amazon controls its APIs and may change, limit or withdraw them. We are not responsible for interruptions caused by Amazon.

6. Acceptable use

Do not use the Services for anything unlawful or fraudulent, or in breach of Amazon's policies.
Do not try to access data or accounts that are not yours, or probe or break our security (report issues to security@sotrics.com).
Do not copy, resell or redistribute the Services or data from them.
Do not copy, reverse engineer, decompile, disassemble or try to extract the source code, formulas, scoring rules, models or design of the Services or the Sotrics browser extensions, except where the law expressly allows it.
Do not use bots, scrapers, crawlers, scripts or other automated means to access, download or collect the Services or their content, other than the official Sotrics extensions and features we provide.
Do not put the Services, their screens, outputs, code or documentation into any artificial intelligence or machine-learning tool, model or dataset to train it, or to recreate, imitate or clone the Services.
Do not use the Services, or anything learned from them, to build, design or improve a product or service that competes with Sotrics.
Do not share your login, rent out access, or let anyone outside the team members you invite use your account.
Do not get around access limits, plan limits, rate limits or security measures, and do not remove notices or tracing marks from exports.
Do not upload malicious code or overload the Services.

We monitor use of the Services for security and to enforce these rules. If we reasonably believe you have broken them, we may suspend or close the account immediately, without refund, and take legal action, including claims for damages and court orders.

7. Plans and billing

Current plans are Starter ($19/month), Growth ($49/month), Pro ($99/month), as shown on our Pricing page. During early access, your plan starts when your account is activated.

Plans are billed monthly in advance in USD, plus any applicable taxes.
You can cancel at any time; cancellation takes effect at the end of the current billing period.
Fees already paid are non-refundable except where the law requires otherwise.
We will give at least 30 days' notice of price changes.

8. Your data

You own your data. You give us a limited licence to process it only to provide the Services to you, as described in our Privacy Policy. We do not sell your data.

9. Our intellectual property

The Services and their software, design and content (excluding your data) belong to Scalifo. We give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own business during your subscription. All rights not expressly given to you are kept by Scalifo. The Sotrics and SotricsOS names, logos, methods, metrics, formulas, scoring rules, models, interface and documentation are confidential, proprietary information of Scalifo and are protected by copyright, trademark, trade secret and other laws. Exports may contain hidden marks that identify the account they came from.

10. Third-party services and trademarks

Amazon, Seller Central and Amazon Ads are trademarks of Amazon.com, Inc. or its affiliates. Sotrics is an independent software product of Scalifo and is not affiliated with, sponsored by, or endorsed by Amazon. The Services rely on third-party services that have their own terms.

11. Service availability

We work to keep the Services available but do not guarantee uninterrupted service. We may carry out maintenance, and third-party services (including Amazon's APIs) may be unavailable at times.

12. Reports are not guarantees

Reports, estimates and suggestions are based on the data available and are provided to help you decide. They are not guarantees, and they are not financial, legal or tax advice.

13. Disclaimer and limitation of liability

To the extent permitted by law, the Services are provided “as is”. Scalifo is not liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

14. Suspension and termination

You may close your account at any time. We may suspend or end access if you breach these Terms, if the law requires it, or if Amazon requires us to. Where reasonable, we will give notice first.

15. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, and its courts have jurisdiction. If you are a consumer, you may also have rights under the laws of your country that cannot be excluded.

16. Changes to these Terms

For material changes we will notify you at least 30 days in advance by email or in the app.
